For selected projects, a dedicated special purpose vehicle may hold and administer specifically defined rights. Structures are determined individually and may provide project-specific accounting, contractual clarity and separation from unrelated transactions, subject to applicable law and contractual obligations.

Inside a transaction-specific acquisition

Selected acquisitions may use a dedicated legal entity to acquire and administer a defined film-rights package. The structure is determined on a project-by-project basis.

  1. Rights opportunity: identify specifically defined film rights.
  2. Commercial assessment: evaluate territory values, distribution commitments, market conditions and transaction costs.
  3. Transaction vehicle: incorporate or designate an entity where appropriate.
  4. Territory partners: agree territories, rights, terms, consideration, payment, release, marketing, reporting and settlement obligations.
  5. Funding: determine committed distribution consideration, shareholder capital, investment, financing or other agreed sources independently for the transaction.
  6. Controlled closing: use agreed conditions and, where appropriate, escrow or professional payment arrangements.
  7. Rights exploitation: proceed once contractual conditions are satisfied.
  8. Reporting and settlement: maintain transaction-specific accounting according to the agreements.

Dreamgate may originate, structure, coordinate or manage aspects of the transaction. Its exact role is defined separately for each project.

Due diligence, governance & transaction security

Significant transactions may involve review of corporate identity, registration, authorized representatives, ownership where appropriate, distribution history, territory capabilities, references, contractual authority, banking information, transaction funds and sanctions considerations.

Agreed safeguards may include payment milestones, conditions precedent, evidence of funds, bank confirmations, escrow, controlled closing, direct payments, delivery conditions, transaction-specific accounts and independent professional advisers. Availability depends on the transaction and applicable requirements.

Dreamgate may engage legal counsel, accountants, tax advisers, banks, escrow providers, corporate-service providers and distribution specialists. No institution’s endorsement or involvement is implied without a formally established relationship authorized for disclosure.

Dreamgate aims to conduct significant transactions in accordance with applicable contractual, corporate, tax, banking, anti-money-laundering, sanctions and other relevant requirements. Independent advice may be obtained where appropriate.

Selected acquisitions may require capital or commercial participation beyond Dreamgate’s operating resources. Where legally permissible and commercially appropriate, suitable professional, strategic or other qualified counterparties may be considered for a defined transaction, subject to appropriate legal, regulatory, tax, financial and commercial advice.
